By accessing or using Gignox, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Platform. Please read these Terms carefully before using our Platform. These Terms constitute a legally binding agreement between you and Gignox. Your continued use of the Platform signifies your acceptance of these Terms and any modifications made to them from time to time. ## 1. Definitions For the purposes of these Terms & Conditions, the following definitions apply: "Gignox," "we," "us," or "our" refers to the Gignox platform, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, and operators responsible for providing and maintaining the Platform and its services. "User," "you," or "your" refers to any individual, entity, or organization accessing, browsing, or using the Platform in any capacity, whether as a registered member or a visitor. "Buyer" refers to a User who purchases, orders, or engages services offered by Sellers through the Platform. Buyers are individuals or entities seeking to acquire freelance services for personal, commercial, or business purposes. "Seller" or "Freelancer" refers to a User who offers, advertises, and provides services through the Platform. Sellers are independent contractors who use Gignox as a marketplace to connect with potential clients and deliver professional services. "Gig" refers to a service listing created and published by a Seller on the Platform. Each Gig contains detailed information about the service offered, including description, pricing, delivery timeframes, revision policies, and package options. "Order" refers to a transaction initiated when a Buyer purchases a Gig from a Seller. An Order represents a contractual agreement between the Buyer and Seller for the delivery of specified services. "Package" refers to the different tiers of service offerings within a Gig, typically categorized as Basic, Standard, and Premium, each with varying scope, features, delivery times, and pricing. "Delivery" refers to the submission of completed work by a Seller to a Buyer through the Platform's order management system. "Revision" refers to a request made by a Buyer for modifications or changes to delivered work, subject to the revision limits specified in the purchased package. "Wallet" refers to the digital balance maintained within a User's Gignox account, used for receiving payments, making purchases, and withdrawing funds. "Escrow" refers to the secure holding of Buyer payments by Gignox until the successful completion of an Order, ensuring protection for both parties involved in the transaction. "Dispute" refers to a formal disagreement raised through the Platform's resolution system when Buyers and Sellers cannot reach an agreement regarding an Order. "Express Delivery" refers to expedited service options offered by Sellers for faster turnaround times, typically at an additional cost. "Gig Extras" refers to additional services or add-ons that Buyers can purchase alongside the main Gig package to enhance or expand the scope of work. ## 2. Account Registration ### 2.1 Eligibility Requirements To create an account and use the services provided by Gignox, you must meet the following eligibility requirements: You must be at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is higher. By registering for an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into binding contracts. If you are registering on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. In such cases, "you" and "your" shall refer to both you as an individual and the entity you represent. You must not have been previously banned, suspended, or removed from the Platform for violating these Terms or any applicable laws and regulations. You must be legally permitted to use the Platform under the laws of your country of residence. It is your responsibility to ensure that your use of Gignox complies with all applicable local, state, national, and international laws. ### 2.2 Account Creation Process When creating an account on Gignox, you must provide accurate, current, and complete information as requested during the registration process. This includes, but is not limited to, your full legal name, valid email address, and any other information deemed necessary for account creation. You agree to promptly update your account information to maintain its accuracy throughout your use of the Platform. Failure to provide accurate information or keep your information updated may result in account suspension or termination. Upon successful registration, you will receive a unique username and will be required to create a secure password. Your username must not impersonate any other person or entity, contain offensive or inappropriate language, violate any trademark or intellectual property rights, or be misleading in any way. ### 2.3 Account Security and Responsibility You are solely responsible for maintaining the confidentiality and security of your account credentials, including your username and password. You must take all reasonable precautions to prevent unauthorized access to your account. You must not share your account credentials with any third party. If you suspect that your account has been compromised or that unauthorized access has occurred, you must immediately notify Gignox and change your password. You are responsible for all activities that occur under your account, whether or not you have authorized such activities. Gignox shall not be liable for any loss or damage arising from your failure to maintain the security of your account. Creating multiple accounts is strictly prohibited unless expressly authorized by Gignox. Users found to be operating multiple accounts may have all associated accounts suspended or terminated, and any funds held in such accounts may be forfeited. ### 2.4 Account Verification and KYC Gignox may require identity verification (Know Your Customer or KYC documentation) for certain activities on the Platform, including but not limited to: Withdrawing funds from your Gignox wallet to external payment methods such as bank accounts or payment processors. Becoming a verified Seller and accessing certain premium features or higher transaction limits. Resolving disputes or fraud investigations where identity confirmation is necessary. Accessing features or services that require enhanced security measures. When verification is required, you agree to provide accurate, genuine, and up-to-date documentation as requested. This may include government-issued identification documents, proof of address, bank statements, or other documentation as specified by Gignox. Gignox reserves the right to reject verification requests if the documentation provided is incomplete, inaccurate, fraudulent, or does not meet our verification standards. Failure to complete required verification may result in limited access to certain Platform features or the inability to withdraw funds. All personal information and documentation submitted for verification purposes will be handled in accordance with our Privacy Policy and applicable data protection laws. ### 2.5 Username Selection and Guidelines When selecting your username, you must adhere to the following guidelines: Usernames must be between 3 and 30 characters in length and may contain only letters, numbers, underscores, and hyphens. Usernames must not impersonate Gignox staff, moderators, or any other Users on the Platform. Usernames must not contain offensive, vulgar, discriminatory, or inappropriate language or references. Usernames must not infringe upon the trademarks, trade names, or intellectual property rights of any third party. Usernames must not be misleading or create confusion regarding your identity or affiliation. Gignox reserves the right to require you to change your username if it violates these guidelines or is deemed inappropriate for any reason. ## 3. Buyer Terms ### 3.1 Purchasing Services on Gignox As a Buyer on Gignox, you have the opportunity to browse, compare, and purchase services offered by Sellers across various categories. When placing an order, you agree to the following terms: You acknowledge that you have read and understood the Gig description, package details, delivery timeframes, revision limits, and any other relevant information before making a purchase. You agree to pay the full listed price for the selected package, including any applicable Gig extras, express delivery fees, service fees, and taxes. All prices are displayed in Indian Rupees (INR) unless otherwise specified. You understand that payment is required at the time of order placement and that funds will be held in escrow by Gignox until the order is successfully completed or a resolution is reached in case of disputes. You agree to provide clear, complete, and accurate requirements for your order in a timely manner. Delays in providing requirements may affect the delivery timeline and are not grounds for order cancellation or refund. You acknowledge that the final deliverables will be based on the requirements you provide and the scope outlined in the Gig description. Any requests beyond the original scope may require additional payment through Gig extras or a new order. ### 3.2 Order Requirements and Communication After placing an order, you may be prompted to submit specific requirements as defined by the Seller. These requirements are essential for the Seller to begin work and deliver results that meet your expectations. You should submit your requirements as promptly as possible after order placement. The order delivery countdown begins once requirements are submitted, unless the Seller has specified otherwise. If you fail to submit requirements within a reasonable timeframe (typically 7 days), the Seller may request order cancellation or proceed with work based on available information. All communication regarding orders should take place through the Gignox messaging system. This ensures a documented record of all discussions, agreements, and file exchanges, which is crucial for dispute resolution. You must not request or share contact information (phone numbers, email addresses, social media handles) with Sellers before order completion, except as necessary for legitimate project requirements. ### 3.3 Delivery Review and Acceptance When a Seller submits a delivery, you will receive a notification and have access to review the delivered work through the Platform. You have a review period of three (3) days (72 hours) from the time of delivery to: Accept the delivery if you are satisfied with the work and it meets your requirements and expectations. Request a revision if the work requires modifications and you have available revisions remaining within your package limits. Raise concerns or communicate with the Seller if there are issues that need to be addressed. If you do not take any action within the 72-hour review period, the order will be automatically marked as complete, and funds will be released to the Seller. This auto-acceptance mechanism ensures fair treatment of Sellers and timely payment for completed work. You may request revisions within the limits specified in your purchased package. Each revision request should clearly describe the changes needed and reference specific aspects of the delivered work. Excessive or unreasonable revision requests that significantly expand the original scope may be subject to additional charges. ### 3.4 Buyer Protection and Guarantee Types Gignox implements a comprehensive Outcome Guarantee Framework designed to protect Buyers while ensuring fair treatment of Sellers. The type of protection available depends on the nature of the service purchased: Result Guaranteed Gigs (indicated by 🟢): These gigs involve services where deliverables can be objectively verified against the agreed requirements. Examples include logo design, website development, content writing, and video editing. For Result Guaranteed gigs, you are eligible for a full refund if the delivered work does not match the written requirements and scope agreed upon at the time of order placement. To qualify for refund consideration, you must clearly demonstrate how the delivery fails to meet the specified requirements. Subjective preferences or changes in taste are not valid grounds for refund. Work Guaranteed Gigs (indicated by 🟡): These gigs involve services that depend on third-party platforms, algorithms, or external factors beyond the Seller's control. Examples include SEO services, social media marketing, app store optimization, and advertising campaigns. For Work Guaranteed gigs, only the professional execution of agreed-upon tasks is guaranteed. Third-party outcomes such as search rankings, website traffic, sales conversions, app downloads, or platform approvals are NOT grounds for refund. Refunds for Work Guaranteed gigs are limited to cases where the Seller fails to complete the agreed scope of work or delivers work that is materially different from what was promised. Before purchasing any gig, carefully review the guarantee type indicated in the gig listing. By placing an order, you acknowledge and accept the applicable guarantee terms. ### 3.5 Reviews and Ratings After successful order completion, you will have the opportunity to leave a review and rating for the Seller. Your feedback helps other Buyers make informed decisions and contributes to maintaining quality standards on the Platform. Reviews should be honest, fair, and based on your actual experience with the order. You must not: Leave false or misleading reviews intended to harm a Seller's reputation. Offer or accept incentives (money, free services, reciprocal reviews) in exchange for positive reviews. Include personal attacks, harassment, or inappropriate language in your reviews. Use reviews as a means of extortion or to obtain services or refunds outside of normal Platform processes. Gignox reserves the right to remove reviews that violate these guidelines or our community standards. ## 4. Seller Terms ### 4.1 Becoming a Seller on Gignox Gignox provides a platform for talented freelancers to showcase their skills and connect with clients worldwide. To become a Seller on Gignox, you must complete the following steps: Pre-Seller Education: Before creating your first gig, you are required to complete our pre-seller education program. This educational module covers important topics including platform policies, best practices for success, communication guidelines, and the Outcome Guarantee Framework. Profile Setup: Create a comprehensive seller profile that accurately represents your skills, experience, and professional background. Your profile should include a professional photo, detailed bio, relevant skills and certifications, and portfolio samples demonstrating your work quality. Seller Onboarding: Complete the seller onboarding process, which includes setting up your payout preferences, availability status, and any additional verification requirements. Gig Creation: Create at least one active gig that complies with our gig creation guidelines and accurately describes the services you offer. By becoming a Seller, you represent and warrant that you have the skills, experience, and resources necessary to fulfill the services you offer. You agree to maintain high standards of professionalism, quality, and communication throughout your engagement with Buyers. ### 4.2 Gig Creation and Listing Guidelines When creating gigs on Gignox, you must adhere to the following guidelines to ensure quality, transparency, and compliance with Platform policies: Accurate Descriptions: Provide clear, accurate, and detailed descriptions of the services you offer. Your gig description should explain what Buyers will receive, the process you follow, and any limitations or exclusions. Realistic Delivery Times: Set delivery timeframes that you can consistently meet. Consider your workload, complexity of the service, and any external dependencies when setting deadlines. Failure to meet delivery deadlines may result in order cancellations and negative impact on your seller metrics. Fair Pricing: Price your services fairly based on the value provided, market rates, and your experience level. Avoid artificially low prices intended to undercut competitors, as this often leads to quality issues and buyer dissatisfaction. Clear Package Differentiation: If offering multiple packages (Basic, Standard, Premium), clearly differentiate what is included in each tier. Buyers should easily understand the value proposition of each package option. Appropriate Categorization: List your gigs in the most relevant categories. Miscategorization may result in gig removal and can negatively impact your visibility and buyer trust. High-Quality Media: Include professional, relevant images and/or videos that accurately represent your work and services. All media must be original or properly licensed for use. Outcome Guarantee Compliance: For categories where outcomes depend on third-party platforms (SEO, marketing, app store optimization, etc.), you must use Work Guaranteed (🟡) designation. You must not make specific outcome promises or guarantees for results outside your control. Prohibited content in gig listings includes but is not limited to: Services that are illegal or violate applicable laws and regulations. Misleading claims or false promises about results. Content that infringes on intellectual property rights. Adult, offensive, or inappropriate material unless in permitted categories. Services that violate third-party terms of service (e.g., fake reviews, bot services). Contact information or attempts to communicate outside the Platform. ### 4.3 Order Fulfillment and Delivery Standards As a Seller, you commit to the following standards when fulfilling orders: Timely Communication: Respond to Buyer messages promptly and professionally. Keep Buyers informed about order progress, any challenges, or potential delays. Quality Delivery: Deliver work that meets or exceeds the standards described in your gig listing. All deliverables should be complete, functional, and ready for Buyer use unless otherwise specified. Meeting Deadlines: Complete and submit deliveries before the deadline. If you anticipate any delays, communicate with the Buyer proactively and request deadline extensions if necessary. Revision Handling: Honor the revision limits included in your packages. Revisions should be handled professionally and promptly. Clearly communicate if Buyer requests exceed the original scope and require additional payment. File Format Compliance: Deliver files in the formats specified in your gig description. Ensure files are properly named, organized, and accessible to the Buyer. Professional Conduct: Maintain professional communication at all times. Avoid personal disputes, harassment, or unprofessional behavior that could harm the Buyer experience or Platform reputation. Platform Compliance: Complete all order-related activities within the Gignox Platform. Do not request payments, tips, or communication outside the Platform, as this violates our Terms and puts both parties at risk. ### 4.4 Seller Levels and Performance Metrics Gignox recognizes and rewards Sellers who consistently deliver excellent work and maintain high customer satisfaction. The Seller Level system categorizes Sellers based on their performance: New Seller: All Sellers begin at this level upon completing their first gig. New Sellers are building their reputation on the Platform and have completed fewer than five (5) orders. This level provides full access to core Platform features while establishing track record. Rising Talent: Sellers who have completed five (5) or more orders with a minimum average rating of 4.0 stars qualify for Rising Talent status. Rising Talents demonstrate consistent quality and reliability. Benefits may include increased visibility in search results and access to additional features. Top Rated: Sellers who have completed twenty (20) or more orders with a minimum average rating of 4.5 stars qualify for Top Rated status. Top Rated Sellers represent the highest tier of talent on Gignox. Benefits include premium placement in search results, Top Rated badge display, priority support, and eligibility for featured promotions. Top Rated Plus (Elite): The highest seller designation reserved for exceptional performers who have completed fifty (50) or more orders with a minimum average rating of 4.8 stars. Top Rated Plus Sellers may receive exclusive opportunities, maximum visibility, and premium support. Seller levels are evaluated periodically based on recent performance metrics. Factors affecting your level include: Order completion rate Average rating and review quality On-time delivery percentage Response time and communication quality Cancellation rate Compliance with Platform policies Levels can be adjusted (upgraded or downgraded) based on performance trends. Maintain high standards consistently to preserve and advance your seller level. ### 4.5 Outcome Guarantee Framework for Sellers The Outcome Guarantee Framework is central to Gignox's commitment to transparency and fairness. As a Seller, you must understand and comply with the following: Understanding Guarantee Types: Result Guaranteed (🟢): For services where you can control and verify the final deliverables. Examples include design work, writing, development, and editing. You are committing to deliver work that matches the agreed requirements and scope. Work Guaranteed (🟡): For services that depend on third-party platforms, algorithms, or external factors. Examples include SEO, social media marketing, app store optimization, and advertising. You are committing to professional execution of agreed tasks but cannot guarantee specific outcomes. Seller Obligations: For Result Guaranteed gigs, you must deliver work that objectively meets the Buyer's stated requirements. Failure to do so may result in mandatory refunds. For Work Guaranteed gigs, you must not make specific promises about outcomes you cannot control (e.g., "guaranteed first page ranking," "100% approval guaranteed"). You must clearly communicate the Work Guaranteed nature of your services and set appropriate expectations. All gig descriptions must accurately reflect the applicable guarantee type. Misrepresenting guarantee terms is a serious violation that may result in account suspension. Seller Acknowledgment: By offering Work Guaranteed services, you acknowledge that Buyers are informed that refunds for such gigs are limited to cases of incomplete or scope-mismatched deliverables. Third-party outcomes are explicitly excluded from refund eligibility. ### 4.6 Seller Account Conduct and Restrictions To maintain the integrity of the Gignox marketplace, Sellers must adhere to the following conduct requirements: You must not create or operate multiple seller accounts unless expressly authorized by Gignox. You must not engage in any form of review manipulation, including purchasing reviews, offering incentives for positive reviews, or creating fake orders to boost metrics. You must not copy or plagiarize content from other Sellers' gigs, including descriptions, images, or portfolio items. You must not engage in bid manipulation, artificial competition, or coordinated behavior intended to disadvantage other Sellers. You must not use bots, automated tools, or any software designed to manipulate Platform systems, rankings, or communications. You must not engage in any activities that could harm the Platform's reputation, user trust, or operational integrity. Violations of these requirements may result in immediate account suspension, permanent termination, forfeiture of pending earnings, and potential legal action. ## 5. Payments & Fees ### 5.1 Service Fees and Commission Structure Gignox charges service fees to facilitate transactions and maintain the Platform. The fee structure is as follows: Buyer Service Fee: A service fee may be added to orders at checkout. This fee helps cover payment processing, platform maintenance, and customer support costs. The applicable fee rate will be clearly displayed before payment confirmation. Seller Commission: Gignox deducts a commission from completed order earnings before crediting funds to the Seller's wallet. Commission rates may vary based on: Seller level and performance history Category-specific rates Promotional periods or special programs Volume-based discounts for high-performing Sellers Current commission rates and any applicable tier structures are available in your Seller dashboard. Gignox reserves the right to modify commission rates with reasonable notice to Sellers. ### 5.2 Payment Processing and Methods Gignox partners with trusted third-party payment processors to ensure secure and reliable payment transactions. Currently supported payment methods include: Credit and Debit Cards: Major cards including Visa, Mastercard, and American Express are accepted through our payment partners. Stripe: Secure card processing and additional payment methods through Stripe's payment infrastructure. Razorpay: Payment processing supporting Indian payment methods including UPI, net banking, and domestic cards. PayPal: International payment processing for eligible transactions. Gignox Wallet: Users may use available wallet balance to make purchases on the Platform. Payment processing is handled entirely by our third-party partners. Gignox does not store complete credit card numbers, CVV codes, or sensitive payment credentials on its servers. All payment information is encrypted and processed according to industry security standards (PCI-DSS compliance). Payment processing times and availability may vary based on your location, selected payment method, and the policies of individual payment processors. ### 5.3 Escrow System and Fund Protection To protect both Buyers and Sellers, Gignox operates an escrow system for all transactions: When a Buyer places an order, payment is collected and held securely by Gignox. Funds remain in escrow throughout the order fulfillment process. Upon successful order completion (Buyer acceptance or auto-acceptance), funds are released to the Seller's Gignox wallet, minus applicable commission. In case of disputes, funds remain in escrow until a resolution is reached. The escrow system ensures that Buyers receive the services they paid for before Sellers receive payment, while also ensuring that Sellers are compensated for successfully completed work. ### 5.4 Seller Payouts and Withdrawals Sellers can withdraw their earned funds from their Gignox wallet to external payment methods. The following terms apply to withdrawals: Clearing Period: After an order is marked complete, earnings enter a clearing period before becoming available for withdrawal. The standard clearing period is fourteen (14) days, though this may vary based on seller level and account history. Minimum Withdrawal: A minimum withdrawal amount may apply. The current minimum withdrawal threshold is displayed in your payout settings. Withdrawal Methods: Available withdrawal methods may include bank transfer, PayPal, and other options based on your location and verification status. Processing Time: Withdrawal processing times vary by method: Bank Transfer: 3-7 business days PayPal: 1-3 business days Other methods: Varies by provider Withdrawal Fees: Some withdrawal methods may incur processing fees, which will be clearly displayed before confirming the withdrawal. Verification Requirements: First-time withdrawals or withdrawals above certain thresholds may require identity verification (KYC) completion. ### 5.5 Currency and Exchange Rates All transactions on Gignox are processed in Indian Rupees (INR) unless otherwise specified. For international Sellers and Buyers, currency conversion may apply: Displayed prices are converted using current exchange rates provided by our payment processors. Exchange rates may fluctuate between the time of order placement and payment settlement. Any currency conversion fees charged by payment processors are the responsibility of the User. Gignox is not responsible for exchange rate fluctuations or fees imposed by banks, payment processors, or currency exchange services. ### 5.6 Taxes and Legal Obligations Users are solely responsible for determining, collecting, reporting, and remitting any applicable taxes related to their use of Gignox. Sellers are responsible for reporting income earned through the Platform to relevant tax authorities and paying any applicable income taxes, self-employment taxes, or other levies. Buyers may be responsible for applicable sales tax, VAT, GST, or other consumption taxes based on their location and the nature of services purchased. Gignox may be required to collect and remit taxes in certain jurisdictions. When applicable, such taxes will be added at checkout. Gignox may provide transaction reports and tax documentation to assist Users in meeting their tax obligations, but does not provide tax advice. Users should consult qualified tax professionals for guidance on their specific situations. ## 6. Cancellations & Refunds ### 6.1 Order Cancellation Policies Orders may be cancelled under the following circumstances: Mutual Cancellation: Both Buyer and Seller agree to cancel the order. Either party may initiate a cancellation request, which must be accepted by the other party. Mutual cancellations are processed promptly, and funds are returned to the Buyer. Seller-Initiated Cancellation: Sellers may request cancellation if: - They are unable to complete the order due to unforeseen circumstances - The Buyer's requirements are outside the scope of the gig - The Buyer is unresponsive and has not provided necessary requirements - Completing the order would require violating Platform policies or applicable laws Buyer-Initiated Cancellation: Buyers may request cancellation if: - The Seller is unresponsive after reasonable attempts to communicate - The Seller indicates they cannot complete the order as described - The order has significantly exceeded the delivery deadline Administrative Cancellation: Gignox may cancel orders when: - Policy violations are detected - Fraudulent activity is suspected - Technical issues prevent order completion - Either party's account is suspended or terminated Cancellation Impact: For Sellers, excessive cancellations negatively impact performance metrics and may result in level demotion or account restrictions. For Buyers, a pattern of unreasonable or abusive cancellation requests may result in account review or restrictions. ### 6.2 Refund Policy and Procedures Refund eligibility is determined by multiple factors, including the guarantee type, order circumstances, and Platform policies: Result Guaranteed (🟢) Gig Refunds: Full refunds may be issued when delivered work does not match the agreed requirements and scope. Buyers must clearly demonstrate how the delivery fails to meet specifications. Subjective dissatisfaction or change of mind are not grounds for refund if work meets stated requirements. Work Guaranteed (🟡) Gig Refunds: Refunds are limited to cases where agreed tasks were not completed or deliverables are materially different from the scope. Third-party outcomes (rankings, traffic, sales, approvals) are explicitly NOT grounds for refund. Buyers acknowledge this limitation when purchasing Work Guaranteed gigs. Refund Processing: Approved refunds are typically credited to the original payment method or Gignox wallet. Processing times vary by payment method (typically 5-10 business days for card refunds). Partial refunds may be issued when appropriate based on work completed. Non-Refundable Situations: Orders completed and accepted (manually or through auto-acceptance) are generally not eligible for refund unless fraud or serious policy violations are discovered. Changes in Buyer needs or preferences after order completion. Dissatisfaction with outcomes beyond Seller control for Work Guaranteed gigs. ### 6.3 Chargeback Policy A chargeback occurs when a Buyer disputes a transaction directly with their bank or credit card company rather than through Gignox's resolution process. Chargebacks should only be used as a last resort for fraudulent transactions. Using chargebacks to avoid payment for legitimately received services is considered fraud. Buyers who initiate chargebacks without first attempting resolution through Gignox's dispute system may face: Immediate account suspension pending investigation. Permanent account termination if the chargeback is determined to be unjustified. Collection actions to recover lost funds. Negative impact on ability to use payment methods on the Platform. Prohibited Activities Users of Gignox must not engage in any of the following prohibited activities: ### 8.1 Account and Identity Violations Creating false, misleading, or fraudulent accounts. Operating multiple accounts without explicit authorization. Impersonating any person, entity, or Gignox representative. Providing false information during registration or verification. Sharing account credentials with unauthorized third parties. Accessing accounts belonging to other Users without permission. Using bots, automation, or scripts to create accounts or perform actions. ### 8.2 Transaction and Payment Violations Requesting or accepting payments outside the Gignox Platform. Engaging in money laundering, fraud, or other financial crimes. Using stolen payment methods or unauthorized funds. Manipulating prices, fees, or currency conversions. Creating fake orders to manipulate statistics or reviews. Circumventing or attempting to avoid Platform fees. Initiating unjustified chargebacks or payment disputes. ### 8.3 Content and Communication Violations Sharing contact information before order completion to circumvent the Platform. Sending spam, unsolicited messages, or excessive communications. Posting or transmitting illegal, offensive, or harmful content. Harassing, threatening, bullying, or abusing other Users. Making false claims, defamatory statements, or spreading misinformation. Using hate speech, discriminatory language, or promoting violence. Sharing sexually explicit, pornographic, or obscene material outside designated categories. ### 8.4 Intellectual Property Violations Infringing copyrights, trademarks, patents, or other intellectual property rights. Circumventing security measures or access controls. ### 8.7 Illegal Activities Offering or purchasing services that violate applicable laws. Engaging in activities that facilitate illegal conduct. Evading taxes or legal obligations. Violating export controls or sanctions. Participating in organized crime or terrorism. ### 8.8 Consequences of Violations Violations of these prohibitions may result in: - Warning and requirement to correct behavior - Temporary suspension of account privileges - Permanent account termination - Forfeiture of pending earnings - Reporting to law enforcement authorities - Civil or criminal legal action - Financial penalties or restitution requirements The severity of consequences depends on the nature, frequency, and impact of violations. ## 9. Intellectual Property ### 9.1 Ownership of Delivered Work The ownership and usage rights for work delivered through Gignox orders are determined as follows: Upon successful completion of an order (including full payment and Buyer acceptance or auto-acceptance), ownership rights transfer to the Buyer according to the terms specified in the Gig description. Standard transfers typically include: - Full ownership of custom-created deliverables - Rights to use, modify, and distribute the work - Commercial usage rights unless otherwise specified Sellers retain ownership of: - Pre-existing materials, templates, and tools used in creating deliverables - General knowledge, techniques, and skills developed through their work - Portfolio rights to display work samples (unless confidentiality is agreed) - Source files, unless specifically included in the package Specific Licensing Terms: Some gigs may specify particular licensing arrangements (e.g., exclusive vs. non-exclusive rights, limited usage, attribution requirements). However, specific legal implications vary by jurisdiction and should be confirmed when important. ### 9.2 Platform Content and Trademarks All content, features, and functionality of the Gignox Platform, including but not limited to: - The Gignox name, logo, and brand elements - Website design, layout, and user interface - Software, algorithms, and technical infrastructure - Written content, graphics, and multimedia - Documentation and help materials are owned by Gignox or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Users may not: - Copy, modify, or distribute Platform content without authorization - Use Gignox trademarks without written permission - Create derivative works based on Platform materials - Remove or alter copyright notices or attributions ### 9.3 User-Generated Content By posting content on Gignox (including gig listings, portfolio items, messages, reviews, and other materials), you: Retain ownership of your original content. Grant Gignox a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, display, and distribute your content in connection with operating and promoting the Platform. Represent that you have all necessary rights to post the content and grant these licenses. Agree that Gignox may display your content in search results, promotional materials, and partner websites. Understand that content may remain visible even after account termination, though you may request removal of specific materials. ### 9.4 Copyright Infringement and DMCA Gignox respects intellectual property rights and expects Users to do the same. Termination may occur: Immediately for serious violations including fraud, illegal activity, or severe harassment. After warning and opportunity to correct for lesser violations. Upon request by the User for voluntary account closure. ### 11.4 Effects of Termination Upon account termination: Access: All access to the Platform is revoked immediately. Orders: Pending orders are cancelled; in-progress orders are handled according to circumstances. Funds: Pending earnings may be forfeited in cases of serious misconduct. Otherwise, legitimate earnings will be processed according to our policies after applicable review and clearing periods. Content: Your gigs, portfolio, and other content will be removed from public view. Data: Your data will be retained as required by law and our Privacy Policy, then deleted according to our data retention schedule. Restrictions: You may be prohibited from creating new accounts. ## 12. Disclaimers ### 12.1 Platform Role and Relationship Gignox operates as an online marketplace that connects Buyers seeking services with Sellers offering their skills and expertise. It is important to understand the nature of our role: Gignox is not a party to transactions between Buyers and Sellers. When you purchase a gig, you are entering into an agreement with the Seller, not with Gignox. Sellers are independent contractors, not employees, agents, or partners of Gignox. We do not control how, when, or where Sellers perform their work. Gignox does not endorse, recommend, or guarantee the quality, safety, legality, or reliability of any User, gig, or transaction. Gignox does not guarantee that Buyers will purchase services from any Seller, or that Sellers will deliver work to any standard. ### 12.2 No Warranty THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. Gignox disclaims all warranties, including but not limited to: Implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Warranties that the Platform will be uninterrupted, secure, or error-free. Warranties regarding the accuracy, reliability, or completeness of any content. Warranties that defects will be corrected or that the Platform is free of viruses or harmful components. We do not warrant that results obtained from using the Platform will meet your requirements or expectations. ### 12.3 Third-Party Services and Content The Platform may contain links to third-party websites, services, or content that are not owned or controlled by Gignox. Damages arising from conduct or content of any third party on the Platform. Any actions or omissions of other Users, including Buyers and Sellers. Technical failures, service interruptions, or security breaches. Reliance on information or content available on the Platform. ### 13.2 Liability Cap In no event shall Gignox's total aggregate liability to you for all claims exceed the greater of: The amount you paid to Gignox in the twelve (12) months preceding the claim, or Five hundred Indian Rupees (INR 500). ### 13.3 Jurisdictional Limitations Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. Your violation of these Terms & Conditions or any applicable law. Your violation of any rights of any third party, including intellectual property rights. Any content you submit, post, or transmit through the Platform. Your negligence, willful misconduct, or fraud. Any dispute between you and another User. Any taxes or obligations arising from transactions conducted through the Platform. This indemnification obligation shall survive termination of your account and these Terms. ## 15. Governing Law and Jurisdiction ### 15.1 Applicable Law These Terms & Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. ### 15.2 Jurisdiction You agree that any legal action, dispute, or proceeding arising out of or relating to these Terms or your use of the Platform shall be brought exclusively in the courts located in Bangalore, Karnataka, India. These Terms supersede all prior agreements, representations, and understandings between you and Gignox. ### 16.2 Severability If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
